Torchmark’s non-management directors meet without any management participation by officers or employee directors in regularly scheduled executive sessions held before, after or otherwise in connection with the Board of Directors meetings.   At least one of these Executive Sessions is conducted annually with only directors meeting the NYSE independence standard present.  The current Chairman of the Governance and Nominating Committee presides over the Executive Sessions.
